Bills Eazy

PLEASE READ CAREFULLY. THESE TERMS AND CONDITIONS FORM PART OF THE LEGALLY BINDING AGREEMENT BETWEEN YOU AND Bills Eazy FOR BILL PAYMENTS SERVICES.

1. Parties

This Agreement (as defined in Clause 12) is between you and Leizam Ventures Ltd. ("Bills Eazy").

2. Service

2.1 Bills Eazy will provide you (“Customer”) with a bill payment service ("Service") through its network of authorised representatives (“Correspondents") which will enable you to buy airtime and tokens ("Transaction") to your chosen respective account number respectively ("Beneficiary").
2.2 In order to provide the Service, Bills Eazy requires you to place the amount to use ("float") balance, including any Transaction Fee (as defined below) into your Bills Eazy’s wallet account ("Bills Eazy Account") in the manner notified to you by Bills Eazy after your registration with Bills Eazy for the purposes of the Service. If this is done in one of Bills Eazy’s stores or agencies, then it may be by providing funds at the time of the transaction. Where the transaction is conducted by telephone or electronic communication, such transactions may be subject to additional terms and conditions and Bills Eazy will advise you of the mechanism for payment to Bills Eazy.

3. Consents

You agree that by placing the funds into the Bills Eazy wallet account Account you irrevocably consent to the purchase transaction.
By providing us with your personal information, such as address, telephone number, mobile number and/or email address, you consent to receiving notices and other communications from Bills Eazy via post, telephone, email and/or SMS message, subject to our Privacy Policy which is available at  Privacy Policy  www.billseazy.com/privacy-policy/
You acknowledge that message and data rates may apply to SMS messages. Bills Eazy may send notices to you about your transactions, your use of the Service or for other purposes, such as providing you with details regarding new developments, products, services and special offers. We may use any email address or other personal information you provide to us at any time for this purpose.
However, if you prefer not to be contacted for any of the above-mentioned reasons or via any of the above-mentioned means, you have the option to unsubscribe or opt-out if you so desire. To stop receiving SMS messages, reply "STOP" to any Bills Eazy SMS message received.
To stop receiving email messages, please send an email message to  support@billseazy.com  with your request.

4. Transaction Information

4.1. Your transactions will be processed immediately after Bills Eazy receives your purchase request. Please be mindful that this process may take between 24-48 hours
4.2. The purchase will be deducted to the from your mobile wallet
4.3. You agree to bear all fees for the transaction, including any local taxes or service charges that apply (“Transaction Fee”).
4.8. The Transaction may be cancelled by Bills Eazy, in its sole discretion.
4.9. You acknowledge and agree that:


4.9.1 You the sender, confirm that you have met the beneficiary in person4.9.2 You have obtained the Beneficiary’s consent to providing their personal information to Bills Eazy for the purpose of Bills Eazy facilitating the Transaction; and
4.9.3 You have either provided the Beneficiary with a copy of the Bills Eazy Privacy Policy, or you have provided the Beneficiary with an electronic link to the Privacy Policy.

5. Foreign Exchange

5.1. A Transaction will normally be paid out in the currency of the Beneficiary’s country; however, the option to pay out a Transaction in additional currencies may be available in some destination countries and/or through certain Correspondents. Please inquire as to such options at the time you place your Transaction order with Bills Eazy. In such case, you will be asked to select the currency to be paid out to your Beneficiary. In the event that, subsequent to the payment of a Transaction to your Beneficiary in the currency you indicated, the Beneficiary requests the Correspondent to convert the payout amount into a different currency, the Correspondent may convert the payout amount to such currency, but such foreign exchange transaction shall be separate and apart from the Transaction, and solely between Correspondent and Beneficiary. Bills Eazy shall not bear any responsibility in connection with any fees or obligations which arise from such subsequent and separate foreign exchange transaction.
5.2. In addition to the Transaction Fee applicable to the transaction, in cases where the Beneficiary will transact in a currency other than kenyan Shillings (“KES”), Bills Eazy will convert KES into the payout currency at Bills Eazy’s retail currency exchange rate ("Bills Eazy’s Exchange Rate") at the time of the Transaction.
5.3. Any monies arising from the difference (if any) between Bills Eazy’s Exchange Rate and the wholesale exchange rate received by Bills Eazy will be kept by Bills Eazy and/or its Correspondents.

6. Payments

6.1 Transaction fees and the principal amount are due and payable before Bills Eazy processes the transaction. You must pay for the Service by Credit or Debit Card (if available) and OR MPesa. If Bills Eazy does not receive authorization from the card issuer , the transaction will not be processed, and funds will not be transmitted to your wallet.
6.2 Reversals: If your transaction fails bills eazy will immediately reverse this funds to your wallet account Incase you make erronous transaction this amount can only be refunded after the third part provider reverses the transaction on their end.
7.2. To the extent permitted by law, Bills Eazy will not refund the Transaction Fee if the Transaction is stopped or otherwise cancelled at your request.

8. Anti-Money Laundering and Counter-Terrorism Financing (AML/CTF) 

8.1. You must provide all information reasonably required by Bills Eazy to comply with the Anti-Money Laundering and Counter-terrorism Financing, or to comply with any laws or regulations in Kenya or any other country.
8.2. Bills Eazy may delay, block or refuse to process any Transaction without incurring any liability or without informing you of the reasons if Bills Eazy suspects that you have breached any laws or regulations in Kenya or in any other country.

9. Receipt

Bills Eazy will make available a receipt of transaction in your recent transaction list section in the app.
The receipt will set out:

  1. a unique identifier number (to identify the Transaction),

  2. Account number,

  3. the amount of the Transaction,

  4. Bills Eazy’s Exchange Rate (where applicable), and

  5. the date and narration of the transaction

10. Liability and Indemnity

10.1. Nothing in this Agreement (including without limitation this Clause 9) operates to exclude, restrict or modify, or has the effect of excluding, restricting or modifying, any statutory condition, warranty, guarantee, right or remedy implied by law and which cannot be excluded, restricted or modified.
10.2. If Bills Eazy fails to comply with a statutory guarantee which by law may not be excluded, then to the extent the law permits Bills Eazy to limit its liability in respect of such failure, subject to Clause Bills Eazy’s liability is limited to:

  1. the re-Transaction of the principal Transaction amount; or

  2. the payment of the cost of re-Transactionring the principal Transaction amount.

10.3. The liability of Bills Eazy excludes, to the extent that any loss or damage suffered by you is attributable to fault or negligence on your part or on the part of any person for whom you are responsible, such loss or damage. If you provide Bills Eazy with incorrect information in the form regarding the Beneficiary, Bills Eazy will not be liable for the non-execution or the defective execution of the Transaction. However, Bills Eazy will make all reasonable efforts to recover the Transaction. Bills Eazy may charge you for the recovery of the Transaction.
10.4. Except as provided below, Bills Eazy shall not be liable for any amount in excess of the amount equal to the principal Transaction amount and the Transaction Fee paid by you. Bills Eazy accepts no liability for service delays or any failure to perform the transaction in accordance with your instructions if these are due to local regulations or circumstances outside Bills Eazy’s control. Bills Eazy will not be liable for any indirect or consequential loss. Bills Eazy will not be responsible for goods and services that may be paid for by a Transaction.
10.5. Nothing in this Clause 9 will limit Bills Eazy’s liability for:

  1. death or personal injury from its negligence; or

  2. fraud committed by Bills Eazy.

10.6 You agree to indemnify and hold Bills Eazy harmless from and against any loss, damage, cost, claim or liability (including direct and consequential losses such as loss of profits) incurred by Bills Eazy:


10.6.1 arising from or as a result of your breach of this Agreement; 10.6.2 arising from or as a result of any misdescription in the Transaction form; 10.6.3 arising from or as a result of payment to a person whom Bills Eazy reasonably believes to be the Beneficiary; 10.6.4 in relation to the person you have nominated as the Beneficiary; 10.6.5 arising from or as a result of Bills Eazy’s cancellation of a Transaction pursuant to your instructions; or
10.6.6 arising from or as a result of Bills Eazy’s cancellation of a Transaction in accordance with Clause 7.2.
10.7 You agree to indemnify, defend and hold Bills Eazy harmless, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages and costs, including reasonable lawyer fees, resulting from any violation of this Agreement by you.
10.8 You also agree to indemnify us against any claims that information or material which you have submitted to us is in violation of any law or in breach of any third party rights, but not limited to, claims in respect of defamation, invasion of privacy, breach of confidence, infringement of copyright or infringement of any other intellectual property right).
10.9 If you provide incorrect information about the Beneficiary and the funds are deposited to an account which is not the Beneficiary’s Account, Bills Eazy shall not be liable for any resulting loss.
10.10 Once the funds are Transactionred to the Beneficiary, the Transaction of the funds is final and irrevocable. However, if Bills Eazy is unable to remit the funds to the Beneficiary, as the Beneficiary cannot be located or does not otherwise present himself/herself, and to the extent permitted by law, Bills Eazy will refund the Transaction funds less the Transaction Fee to you.

11. Privacy Compliance, Identity Verification and Consents

11.1. Bills Eazy will use the information provided by you, including personal information about yourself and the Beneficiary, to provide you with the Service and to manage its ongoing relationship with you. By signing the receipt for your Transaction, you, the Sender, confirm that all details you are providing to Bills Eazy are correct. In providing your personal information to Bills Eazy, you consent for the same to be used in accordance with Bills Eazy’s Privacy Policy which is available at www.billseazy.com/privacy-policy.html
11.2. You warrant to Bills Eazy that you have full authority and consent to providing the Beneficiary’s details to us and our Correspondents in connection with the Transaction.
11.3 In transacting with Bills Eazy, you authorise the disclosure of your personal information to and verification of your identity.
11.4 In addition to the method for verifying your identity described in Clause 10.3, you may also elect to have your identity verified by the following methods:

  1. In person verification: You may visit any one of our Bills Eazy retail store/agent locations in Kenya and present your government photo-issued identification to a Bills Eazy team member/registered Agent who will undertake the verification process. In doing so you are consenting your identification document being scanned and uploaded to Bills Eazy system by a Bills Eazy team member/registered Agent for verification of your identity purposes.

  2. Remote verification: If you are unable to visit a Bills Eazy retail/Bills Eazy Agent location due to distance, you may provide us with a certification from an official professional as directed by our team in regards to your location stating that your identification has been verified against the original. 

11.5 Acknowledgment of express, informed and genuine consent prior to making a verification request:
  1. You actively agree to Bills Eazy verifying your identity against the personal information contained in the credit information files held by a CRA for an assessment.
    Bills Eazy will only use the assessment by the reporting entity for the purpose of verifying your identity for the purposes of the Anti Money Laundering and /Counter Terrorism Finance Laws.
    You specifically consent to the disclosure of your personal information by Bills Eazy to a verification body of your personal information for the purposes of electronic verification of your identity as stated by the corresponding laws.

11.6 Electronic communications disclaimer:
I confirm that all the information that I have provided is true and correct, and I consent to receive electronic confidential information regarding my transactional activity to the email address and mobile phone number that I have provided.
In the event that my information is disclosed by mistake to an unauthorized recipient as a result of me entering the wrong details, I exonerate Bills Eazy Financial Services of any liabilities.
11.7 Declaration of Truth
I declare that the information given on this form is true & correct in every way and is not misleading or deceptive or is likely to mislead or deceive Bills Eazy or any other person.

12. Complaints

12.1. If you need to make a complaint relating to the Service, please contact Bills Eazy’s Dispute Resolution Department by telephone, post or email address as follows: support@billseazy.co.ke
12.2 Please see Bills Eazy’s Privacy Policy  guidance on making a complaint related to Bills Eazy’s treatment or handling of your personal information.
12.4 Non-authorized third parties using Customers profiles: Bills Eazy will not be liable for any complaint arising from customers sharing their credentials with non-authorized third parties as this constitutes a breach of Bills Eazy Terms and Conditions

13. Entire Agreement

You agree that our agreement includes only these terms and conditions and the Transaction form (collectively the "Agreement") and this is the entire agreement and understanding between you and Bills Eazy and supersedes and terminates any prior agreement between you and Bills Eazy.

14. Rights of Third Parties

A person who is not a party to the Agreement will not have any rights to enforce any provision of the Agreement other than at law.

15. Severability

In the event any provision (or part provision) of the Agreement is held by any court or authority of competent jurisdiction to be invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed not to form part of the Agreement and the validity and enforceability of the other provisions of the Agreement will not be affected.

16. Language, Governing Law & Jurisdiction

16.1. Where Bills Eazy at its discretion provides you with a translation of the English version of any part of the Agreement, you agree that the translation is only for your convenience and does not form part of the Agreement. The English version of the Agreement will govern the provision of the Service by Bills Eazy to you.

18. Notices

18.1 Any notice given or made under this Agreement may be sent by email if:


18.1.1 the notice is sent to the email address last notified by the intended recipient to the sender; and
18.1.2 the sender keeps an electronic or printed copy of the notice sent.
18.2 A notice sent by email will be deemed to have been given on the first to occur of:


18.2.1 receipt by the sender of an email acknowledgement from the recipient’s information system showing that the notice has been delivered to the email address stated above; 18.2.2 the time that the notice enters an information system which is under the control of the recipient; or
18.2.3 the time that the notice is first opened or read by an employee or officer of the recipient.

19. Termination

19.1 This Agreement may be terminated immediately by you or Bills Eazy by notice to the other. However, termination by either party shall not affect any Transaction or other transaction previously entered into and shall not relieve either party of any outstanding obligations arising out of this Agreement, nor shall it relieve you of any obligations arising out of any Transaction entered into prior to such termination.
19.2 In the event that Bills Eazy is made aware of or has reason to believe any of the following:


19.2.1 that you have provided false or misleading information to Bills Eazy; or 19.2.2 that you have participated or are participating or have assisted or are assisting in money laundering or terrorist financing; or 19.2.3 that you are being officially investigated by law enforcement and/or regulatory agencies; or
19.2.4 that you have contravened any laws, then Bills Eazy, at its sole discretion, may terminate this Agreement immediately by notice to you, to the extent notice is permitted under applicable laws, and Bills Eazy shall be relieved of any obligations set out in this Agreement or arising out of the transactions contemplated by the Agreement between the parties.

20. Amendment

20.1 Bills Eazy may make modifications, alterations, changes or variations to any term of this Agreement, by notifying you in writing, including by email, of the details of the amendment or modification. Any modification or change to this Agreement will take effect after a period of 14 days has elapsed from the date when you are notified of the modification or change. You may not make any changes or modifications to this Agreement.
